These Terms of Service ("Terms") are a binding legal contract between you ("you" or "your") and Pandi Finance LLC, a Washington limited liability company ("Pandi Finance LLC," the "Company," "we," "us," or "our"), which operates the Almie mobile application and related services ("Almie" or the "Service") under the "Almie" brand. Please read these Terms carefully. They include a binding individual arbitration agreement and a class-action and jury-trial waiver in Section 22 that affect your legal rights, and they incorporate our Privacy Policy.
By downloading, installing, creating an account for, accessing, or otherwise using Almie, you acknowledge that you have read and understood these Terms and agree to be bound by them. These Terms form a binding legal contract between you and Pandi Finance LLC. If you do not agree to these Terms, do not create an account and do not use the Service.
These Terms incorporate by reference our Privacy Policy, available at https://almie.money/privacy-policy, which explains how we collect, use, and protect your information. By agreeing to these Terms, you also acknowledge the practices described in the Privacy Policy.
PLEASE READ SECTION 22 (DISPUTE RESOLUTION — BINDING INDIVIDUAL ARBITRATION AND CLASS-ACTION AND JURY-TRIAL WAIVER) CAREFULLY. IT REQUIRES YOU AND PANDI FINANCE LLC TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, AND GIVES YOU A 30-DAY RIGHT TO OPT OUT.
To create an account or use the Service, you represent and warrant that you:
Almie is intended for use only in the United States and supports only U.S.-based financial institutions. The Service is not directed to, and may not be used by, individuals under 18 or persons located outside the United States. We do not knowingly provide the Service to anyone who does not meet these eligibility requirements.
Almie is a personal-finance tracking application for iOS. With your authorization, Almie connects to your financial accounts on a read-only basis through Plaid to display and categorize your balances, transactions, liabilities (such as credit-card and loan terms), and investment holdings, and to compute in-app budgeting views, including Safe-to-Spend, Reserves, and Goals.
Almie is a read-only informational tool. Almie cannot and does not move, transfer, withdraw, deposit, hold, or custody money. Almie does not initiate transfers, ACH transactions, wires, payments, or securities trades, and does not open, close, or manage any account on your behalf. Features such as Reserves and Goals are internal budgeting calculations only; they represent suggested set-asides within Almie and do not correspond to any actual movement, segregation, or transfer of funds at your financial institution.
Almie is not a bank, credit union, broker-dealer, investment adviser, lender, money transmitter, custodian, payment processor, or financial, investment, tax, or legal advisor, and it does not provide banking, brokerage, or custodial services. All figures and insights presented in the Service are informational only and are not offers, advice, or recommendations. See Section 12.
Beta and pre-release versions. From time to time we may offer beta or pre-release versions of Almie, including through Apple’s TestFlight program. Beta versions are provided for testing and evaluation, may contain errors or incomplete features, may change or be discontinued at any time, and are provided “as is” to the fullest extent described in Section 18. Your use of TestFlight is also governed by Apple’s TestFlight terms. Feedback you provide about beta versions is handled under Section 15.
To use Almie, you must create an account. You may register and sign in using either:
You agree to provide accurate and complete registration information, to keep it current, and to use only authentication methods that belong to you. You are responsible for maintaining access to the phone number or Apple ID you use to sign in; if you lose access to it, you may be unable to access your account.
You are responsible for safeguarding access to your account, including your device, your mobile phone number, your SMS one-time passcodes, and your Apple ID, and for enabling device-level protections such as a passcode and Face ID or Touch ID where available. You should never share your one-time passcodes with anyone.
You are responsible for all activity that occurs under your account. You agree to notify us promptly at support@almie.money if you suspect any unauthorized access to or use of your account, phone number, or Apple ID. To the fullest extent permitted by law, we are not liable for any loss arising from unauthorized use of your account that results from your failure to safeguard your credentials or device.
By creating an account, you consent to receive communications from us and our service providers in electronic form, and you agree that the federal E-SIGN Act and comparable state laws permit these electronic communications to satisfy any legal requirement that a communication be in writing. Electronic communications include:
Transactional messages that are necessary to operate the Service, such as sign-in passcodes and legal notices, are a required part of the Service and cannot be disabled while you maintain an account.
Almie uses Plaid Inc. ("Plaid") as its sole service for connecting to your financial institutions. When you link an account, you enter your institution credentials directly into Plaid's interface. As of the effective date of these Terms, Almie never receives, sees, or stores your financial-institution login credentials.
By linking a financial account, you authorize Almie and Plaid to retrieve your account information on a read-only basis on your behalf — including balances, transactions, liabilities, and investment holdings — for the purpose of providing the Service. This authorization is a limited data-access permission only; it is not a power of attorney and does not authorize Almie or Plaid to move money or take any action on your accounts. You represent that you are the owner of, or are otherwise authorized to link, each account you connect.
Your use of Plaid is governed by Plaid's own end-user terms and privacy policy, available at https://plaid.com/legal. Account data is provided by your financial institutions through Plaid, and we are not responsible for the accuracy, completeness, timeliness, or availability of that data (see Section 18). You may disconnect a linked account at any time within the App; disconnecting stops future retrieval, and deleting your account removes your data as described in Section 21.
Almie’s premium features require a paid subscription, sold as an auto-renewing subscription through Apple In-App Purchase. You can always sign out and delete your account without an active subscription. Current pricing is:
Auto-renewal disclosure: Your subscription automatically renews for successive periods of the same length (monthly or yearly) at the then-current price stated above, and it will continue to renew and be charged to your Apple ID until you cancel. Payment is charged to your Apple ID at confirmation of purchase and, for each renewal, within 24 hours before the end of the current period. To avoid being charged for the next period, you must cancel at least 24 hours before the end of the current period. You can cancel at any time in your Apple ID subscription settings, as described in Section 10.
Prices are stated in U.S. dollars and may not include applicable taxes. We may change subscription pricing or plans on a going-forward basis; any change will apply to renewals occurring after the change and, where required, will be subject to notice and your consent through the App Store before it takes effect.
We may offer a 14-day free trial of the subscription to eligible new users. Unless you cancel at least 24 hours before the trial ends, your free trial will automatically convert into a paid, auto-renewing subscription, and your Apple ID will be charged the price of the plan you selected. If you cancel during the trial in accordance with Apple's instructions, you will not be charged. Eligibility for a free trial is determined by Apple, and any unused portion of a free trial is forfeited when you purchase a subscription.
All subscription billing is processed by Apple through your Apple ID. Pandi Finance LLC does not receive or process your payment-card details and cannot directly charge, cancel, or refund your subscription.
You can manage or cancel your subscription at any time on your device under Settings > your name > Subscriptions, or through the App Store. Cancellation takes effect at the end of the current billing period, and you retain access until then.
Except where required by applicable law, subscription fees are non-refundable, and partial-period refunds are not provided. Any refund request is subject to Apple's policies and is granted or denied by Apple in its discretion. Separately from any cancellation, you may delete your account at any time as described in Section 21; deleting your account does not by itself cancel an Apple subscription, which you must cancel through Apple.
The following terms apply because you obtain Almie through the Apple App Store. You acknowledge and agree that:
Almie is an informational and organizational tool only. Nothing in the Service constitutes financial, investment, tax, accounting, or legal advice, or a recommendation, offer, or solicitation to buy, sell, or hold any security or to enter into any transaction. Budgeting views such as Safe-to-Spend, Reserves, and Goals, along with categorizations, projections, trends, and other figures, are estimates generated from third-party data for your convenience and may be incomplete or inaccurate. You are solely responsible for your financial decisions, and you should consult a qualified professional before acting on any information in the Service.
You agree to use the Service only for its intended personal, non-commercial purpose and in compliance with all applicable laws. You agree that you will not, and will not attempt to or permit others to:
We may investigate and take appropriate action, including suspending or terminating your account, for any actual or suspected violation of this Section (see Section 21).
"User Content" means the content you create within the Service, such as custom category names, notes, tags, and the names you give to your Goals and Reserves. As between you and us, you retain ownership of your User Content.
You grant Pandi Finance LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your User Content solely to operate, secure, and provide the Service to you. This license is limited to running the Service and does not include any right to publicly display or distribute your User Content, or to use it to train artificial-intelligence or machine-learning models. This license ends when your User Content is deleted, except for standard backup copies retained for a limited period as described in the Privacy Policy.
If you send us suggestions, ideas, or other feedback about the Service ("Feedback"), you grant Pandi Finance LLC a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that Feedback for any purpose, without any obligation, compensation, or attribution to you. Feedback is provided voluntarily and is not confidential.
The Service, including its software, design, text, graphics, and other content, and the "Almie" name, logos, and marks, are owned by Pandi Finance LLC or its licensors and are protected by intellectual-property laws. All rights not expressly granted are reserved.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on Apple-branded devices you own or control, solely for your own personal, non-commercial use. You may not copy, modify, distribute, sell, or create derivative works of the Service except as expressly permitted here or by applicable law.
The Service relies on third-party providers to function, including Plaid (financial-account connectivity), Supabase (cloud hosting, database, and authentication on U.S.-based infrastructure), Apple (in-app purchases, Sign in with Apple, and push notifications), and Twilio (SMS one-time passcodes). Your use of these services, your financial institutions, and any third-party websites we link to is governed by their own terms and privacy policies, and we are not responsible for their acts, omissions, content, or availability.
To the fullest extent permitted by law, you release Pandi Finance LLC from any claim or dispute arising between you and your financial institutions or any third-party service provider, including disputes about your accounts, transactions, balances, fees, or the accuracy or availability of data those parties provide.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PANDI FINANCE LLC AND ITS PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE, COMPLETE, OR CURRENT. FINANCIAL DATA IS SUPPLIED BY YOUR INSTITUTIONS THROUGH PLAID AND MAY BE DELAYED, INCOMPLETE, INACCURATE, MIS-CATEGORIZED, OR UNAVAILABLE. YOU SHOULD VERIFY ALL INFORMATION DIRECTLY WITH YOUR FINANCIAL INSTITUTION BEFORE RELYING ON IT.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PANDI FINANCE LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL THE TOTAL AGGREGATE LIABILITY OF PANDI FINANCE LLC ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law. These limitations are a fundamental basis of the bargain between you and us.
You agree to defend, indemnify, and hold harmless Pandi Finance LLC and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any right of a third party, including any financial institution or any intellectual-property or privacy right. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.
These Terms apply while you use the Service, and you may stop using the Service at any time.
You may delete your account at any time using the in-app Delete Account control, which remains reachable even if your subscription has lapsed or you are not currently subscribed. Deleting your account instructs Plaid to disconnect your linked items (a Plaid item-removal request) and triggers deletion of your data as described in our Privacy Policy. Deleting your account does not automatically cancel your Apple subscription; you must cancel that separately through Apple (see Section 10).
We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, if we reasonably suspect fraud or unlawful activity, if required by law or by a third-party provider, or if we discontinue the Service. Where practicable, we will provide reasonable notice.
Provisions that by their nature should survive termination will survive, including those governing payment obligations, intellectual property, disclaimers of warranties, limitation of liability, indemnification, dispute resolution and arbitration, governing law, and the miscellaneous provisions.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO HAVE A JURY TRIAL, AND REQUIRES INDIVIDUAL ARBITRATION OF MOST DISPUTES.
Before starting an arbitration, you and Pandi Finance LLC agree to try to resolve any dispute informally. You agree to send a written notice describing the dispute and the relief sought to support@almie.money, and to allow 60 days for the parties to attempt a good-faith resolution before commencing arbitration.
If the dispute is not resolved, you and Pandi Finance LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding individual arbitration, and not in court, except as stated below. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or, if the parties agree, by JAMS under its applicable rules. The Federal Arbitration Act governs the interpretation and enforcement of this Section. An arbitrator, rather than a court, will decide the Dispute, and judgment on the award may be entered in any court with jurisdiction.
YOU AND PANDI FINANCE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. YOU AND PANDI FINANCE LLC WAIVE ANY RIGHT TO A JURY TRIAL.
You may opt out of this arbitration agreement (including the class-action and jury-trial waiver) by emailing support@almie.money within thirty (30) days of first accepting these Terms. Your notice must state your name, the phone number or Apple ID associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.
Notwithstanding the above, either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misuse of intellectual property or unauthorized access to the Service. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court.
These Terms and any Dispute are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. To the extent any Dispute is not subject to arbitration and may be brought in court, you and Pandi Finance LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Washington, subject to the small-claims and injunctive-relief exceptions in Section 22.
We may modify these Terms from time to time. If we make material changes, we will provide notice through the App or by email, and we will update the "Effective / Last updated" date at the top of these Terms. Changes take effect when posted or on the date stated in the notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service and may delete your account.
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Our failure to enforce any provision is not a waiver of our right to do so later, and any waiver must be in writing to be effective.
You may not assign or transfer these Terms or your account without our prior written consent, and any attempt to do so is void. Pandi Finance LLC may freely assign these Terms, including in connection with a merger, acquisition, reorganization, or sale of assets.
These Terms, together with the Privacy Policy and any Apple-required terms, are the entire agreement between you and Pandi Finance LLC regarding the Service and supersede all prior agreements on that subject.
Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Pandi Finance LLC.
Except for Apple (as described in Section 11) and our service providers where expressly stated, there are no third-party beneficiaries of these Terms.
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of Plaid, Supabase, Apple, Twilio, or your financial institutions, internet or infrastructure failures, natural disasters, or government actions.
You represent that you are not located in, and are not a national or resident of, any country or region subject to U.S. sanctions or embargo, and that you are not on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable export-control and sanctions laws.
Section headings are for convenience only and do not affect interpretation. "Including" means "including without limitation." These Terms will not be construed against either party as the drafter.
